DRIVESAFE INITIATIVE, LLC TERMS OF USE

These Terms of Use ("Terms") govern your access to and use of the website, mobile applications, vehicle-mounted camera systems, software platforms, driver monitoring technologies, educational content, reports, and related services (collectively, the "Services") operated by DriveSafe Initiative, LLC ("DriveSafe," "Company," "we," "our," or "us").

Your access to and use of the Services is conditioned upon your acceptance of and compliance with these Terms. By accessing or using the Services, you acknowledge that you have reviewed our Privacy Policy and consent to the collection, use, disclosure, retention, and processing of your information as described therein. The Privacy Policy may be amended from time to time in accordance with its terms. If you do not agree to these Terms or the Privacy Policy, you may not access or use the Services.

CHANGES TO TERMS

We reserve the right to modify these Terms from time to time. Updated versions will be posted through the Services. Unless otherwise stated, changes become effective immediately upon posting. Your continued use of the Services after modifications are posted constitutes acceptance of the revised Terms.

In the event of a conflict between these Terms and the Privacy Policy regarding privacy practices, the Privacy Policy shall control.

ARBITRATION NOTICE; WAIVER OF CLASS ACTIONS AND JURY TRIAL

BY USING THE SERVICES, YOU AGREE THAT MOST DISPUTES WILL BE RESOLVED THROUGH INDIVIDUAL BINDING ARBITRATION. YOU WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, MASS ARBITRATION, OR REPRESENTATIVE PROCEEDING, AND YOU WAIVE THE RIGHT TO A JURY TRIAL.

PURPOSE OF THE SERVICES

DriveSafe provides driver monitoring, driver coaching, safety reporting, educational resources, driver analytics, and vehicle safety technologies designed to encourage and improve safe driving habits.

The Services may utilize:

  • Vehicle-mounted cameras;
  • Dashcams;
  • Artificial intelligence technologies;
  • Driver behavior analysis tools;
  • Mobile applications;
  • Safety reporting systems;
  • Driving event detection technologies; and
  • Driver coaching and feedback tools.

The Services are intended to provide educational and informational support only.

COOKIES AND SIMILAR TECHNOLOGIES

DriveSafe may use cookies, software development kits ("SDKs"), local storage technologies, web beacons, pixels, and similar technologies in connection with the operation of the Services. These technologies help us operate the Services, authenticate users, remember preferences, improve functionality and performance, analyze usage, maintain security, and support the other purposes described in our Privacy Policy.

By accessing or using the Services, you acknowledge that information may be collected through these technologies as described in our Privacy Policy.

You may be able to manage, disable, or delete certain cookies and similar technologies through your browser, device, or application settings, or through any cookie preference tools we may make available. If you wish to limit or opt out of the use of cookies or similar technologies, you are responsible for adjusting your browser or device settings, selecting your preferences through any available cookie management tools located on our website, or discontinuing use of the Services.

Please note that disabling certain cookies or similar technologies may affect the availability, functionality, security, or performance of certain features of the Services.

INTELLECTUAL PROPERTY RIGHTS

DriveSafe and its licensors are the sole and exclusive owners of the Services, including all content, software, reports, trademarks, technology, algorithms, graphics, videos, text, databases, documentation, and related intellectual property.

You may not copy, reproduce, modify, distribute, reverse engineer, create derivative works from, or otherwise exploit any portion of the Services except as expressly authorized by DriveSafe.

PARENTAL CONSENT AND MINOR DRIVERS

The Services are specifically designed for use by teenage drivers between the ages of 13 and 18 and their parents or legal guardians.

By registering, enrolling, or otherwise permitting a person under the age of 18 to access or use the Services, the parent or legal guardian represents and warrants that:

  • They are the parent or legal guardian of the minor;
  • They have authority to consent to the minor's participation in the Services;
  • They have reviewed and accepted these Terms on behalf of themselves and the minor;
  • They consent to the collection, use, disclosure, storage, and processing of the minor's information as described in the Privacy Policy;
  • They consent to the collection and analysis of driving-related video recordings, safety-event information, driver behavior information, and related data;
  • They acknowledge that DriveSafe may provide reports, alerts, scores, coaching recommendations, and driver-performance information to parents, guardians, and other authorized account holders; and
  • They agree to be responsible for the minor's compliance with these Terms.

A parent or legal guardian may withdraw consent by contacting DriveSafe. Withdrawal of consent may result in suspension or termination of the minor's access to the Services.

ACCOUNTS

Certain features of the Services require the creation of an account.

You agree that information provided in connection with your account will be accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account.

You must promptly notify DriveSafe of any unauthorized use or suspected security breach involving your account.

VIDEO RECORDING AND AI ANALYSIS

By using the Services, you acknowledge and agree that DriveSafe may collect, process, store, and analyze information generated through vehicle-mounted cameras and related technologies.

Information processed through the Services may include:

  • Dashcam recordings;
  • In-cabin video recordings;
  • Driving event recordings;
  • Vehicle-operation information;
  • Driving safety information;
  • Location-associated event information;
  • Driver coaching information; and
  • Driver safety scores.

DriveSafe may use artificial intelligence, machine learning, automated analytics, and similar technologies to identify driving events, evaluate driving behaviors, provide coaching recommendations, generate safety scores, create alerts, and produce reports.

COMPLIANCE WITH LAWS

You are responsible for complying with all applicable federal, state, and local laws when accessing or using the Services.

You are responsible for the proper installation of all equipment in your vehicle in accordance with applicable federal, state, and local laws.

ACCEPTABLE USE POLICY

You shall not:

  • Use the Services for any unlawful purpose;
  • Violate applicable privacy, surveillance, recording, or vehicle-monitoring laws;
  • Interfere with the operation of the Services;
  • Circumvent security measures;
  • Submit false information;
  • Use bots, scrapers, crawlers, or automated tools to access the Services;
  • Attempt to reverse engineer any portion of the Services;
  • Upload malicious software or harmful code;
  • Attempt to manipulate or falsify safety scores, reports, alerts, or driving-event information;
  • Use the Services to develop or train competing AI models; or
  • Access another user's account without authorization.

FEEDBACK

Any comments, suggestions, feedback, or ideas submitted to DriveSafe may be used by DriveSafe without restriction and without compensation to you.

DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DRIVESAFE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR UNINTERRUPTED OPERATION.

DRIVESAFE DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, THAT ALL DRIVING EVENTS WILL BE DETECTED, OR THAT DEFECTS WILL BE CORRECTED.

AI-GENERATED REPORTS AND SAFETY DECISIONS DISCLAIMER

The Services may generate reports, alerts, coaching recommendations, safety scores, and other outputs through artificial intelligence and automated technologies ("AI Outputs").

AI Outputs may not be accurate, complete, reliable, or appropriate under all circumstances. Environmental conditions, equipment limitations, data quality issues, and other factors may affect the accuracy of AI Outputs.

AI Outputs are provided solely for informational, educational, coaching, and driver-safety awareness purposes.

AI Outputs are intended to supplement, not replace, human judgment and independent evaluation.

DriveSafe does not guarantee that AI Outputs will identify all unsafe driving behavior, prevent accidents, improve driving performance, reduce insurance risk, or achieve any particular outcome.

AI Outputs should not be relied upon as the sole basis for legal, disciplinary, employment, insurance, licensing, educational, safety, or other significant decisions affecting any individual.

DISCLAIMER REGARDING DRIVING SAFETY

THE SERVICES ARE PROVIDED FOR EDUCATIONAL AND DRIVER-SAFETY AWARENESS PURPOSES ONLY.

DRIVESAFE DOES NOT WARRANT OR GUARANTEE THAT USE OF THE SERVICES WILL:

  • PREVENT ACCIDENTS;
  • REDUCE ACCIDENT FREQUENCY;
  • PREVENT INJURIES;
  • ELIMINATE DISTRACTED DRIVING;
  • IMPROVE INSURANCE PREMIUMS;
  • PREVENT TRAFFIC VIOLATIONS; OR
  • RESULT IN ANY PARTICULAR DRIVING OUTCOME.

ALL DRIVING DECISIONS REMAIN THE SOLE RESPONSIBILITY OF THE DRIVER.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DRIVESAFE'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF:

(A) THE AMOUNT PAID TO DRIVESAFE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR

(B) ONE HUNDRED DOLLARS ($100).

IN NO EVENT SHALL DRIVESAFE BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

INDEMNIFICATION

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS DRIVESAFE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND AGENTS FROM AND AGAINST ANY CLAIMS, DAMAGES, LOSSES, LIABILITIES, COSTS, OR EXPENSES ARISING FROM:

  • Your use of the Services;
  • Your violation of these Terms;
  • Your violation of applicable law;
  • Your misuse of another person's information; or
  • Your infringement of any third-party rights.

DISPUTE RESOLUTION; ARBITRATION AGREEMENT; CLASS ACTION WAIVER

Informal Resolution

Prior to initiating any legal proceeding, the parties agree to attempt to resolve disputes informally for at least thirty (30) days following written notice.

Arbitration

Any dispute arising out of or relating to these Terms, the Privacy Policy, the Services, or the relationship between the parties shall be resolved through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules.

A single arbitrator shall hear the dispute.

Federal Arbitration Act

The Federal Arbitration Act governs the interpretation and enforcement of this Arbitration Agreement.

Seat of Arbitration

The seat and legal place of arbitration shall be Lincoln, Nebraska.

Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, ALL CLAIMS MUST BE BROUGHT SOLELY IN AN INDIVIDUAL CAPACITY.

YOU WAIVE ANY RIGHT TO:

  • Participate in a class action;
  • Participate in a mass arbitration;
  • Participate in a representative action;
  • Act as a private attorney general; or
  • Seek relief on behalf of any other person.

Jury Trial Waiver

YOU AND DRIVESAFE WAIVE THE RIGHT TO A TRIAL BY JURY.

Small Claims Exception

Claims properly brought within the jurisdiction of a small claims court may be pursued in small claims court.

Opt-Out Right

You may opt out of this Arbitration Agreement by providing written notice to DriveSafe within thirty (30) days after first accepting these Terms.

Survival

This Arbitration Agreement survives termination of your account and termination of these Terms.

GOVERNING LAW

Except for matters governed by the Federal Arbitration Act and disputes subject to arbitration, these Terms shall be governed by and construed in accordance with the laws of the State of Nebraska, without regard to conflict-of-law principles.

Subject to the Arbitration Agreement, exclusive jurisdiction and venue for any judicial proceeding shall be the state and federal courts located in Lancaster County, Nebraska.

TERMINATION

DriveSafe may suspend or terminate your access to the Services at any time for violation of these Terms, legal requirements, security concerns, or operational reasons.  No refund of prepaid subscription fees will be paid upon termination.

MISCELLANEOUS

These Terms constitute the entire agreement between you and DriveSafe regarding the Services.

If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.

No waiver shall be deemed a continuing waiver.

The provisions regarding intellectual property, disclaimers, limitations of liability, indemnification, arbitration, and governing law shall survive termination.
